Terms & Conditions

The person (the “Exhibitor”) submitting one or more works in connection with the “Lace in Translation” exhibition being conducted by to The Design Center at Philadelphia University (the “University”) agrees to the terms set forth below. 
 
For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, and intending to be legally bound hereby, the Exhibitor, for himself or herself and his or her heirs, successors and assigns, hereby grants to the University, and the University hereby accepts from the Exhibitor, the exclusive, irrevocable, royalty-free, transferable right and license to use the works (and the copies and digital representations thereof) previously or in the future submitted by the Exhibitor in connection with the “Lace in Translation” exhibition being conducted by to The Design Center at the University (the “Works”) for any and all purposes that the University and its successors and assigns deems appropriate or desirable.  The foregoing license shall include, but not be limited to, any and all manners, methods and mediums of advertising, promotion, historical reference and gift shop items (including reprints) of and related to the “Lace in Translation” exhibition, the Design Center at the University and the University generally. 
 
The foregoing license granted to the University shall have a perpetual term.  The Exhibitor warrants to the University and its successors and assigns that the Exhibitor is the sole owner of the Works and that such Works and all right, title and interest therein are not subject to any lien, claim, license, royalty arrangement or dispute other than as set forth in this Agreement.  The Exhibitor shall indemnify and hold the University and each of its trustees, officers, directors, agents and employees (collectively, the “Indemnities”) harmless and defend the Indemnities from and against all claims, injury, loss, damage, liability, cost or expense of whatever nature (including, without limitation, court costs, and reasonable attorneys fees) or fines, caused by or attributable to the acts, omissions, negligence, misconduct, violations of law, breaches of the foregoing representations and warranties.
